EFC to Acquire Ultrafresh Modular in ₹54 Cr Share-Swap Deal

The EFC Ultrafresh acquisition is a ₹54 crore share-swap deal giving EFC 100% ownership of the modular kitchen and furniture solutions company.

EFC (I) Limited has entered into an agreement to acquire 100% of Ultrafresh Modular Solutions Limited in a ₹54 crore share-swap transaction, marking a significant ownership change for the modular kitchen and furniture solutions company.

Under the proposed transaction, TTK Prestige Limited will divest its 51% controlling stake in Ultrafresh, while the remaining 49% held by the original founder/promoter shareholders will also be acquired by EFC. The consideration will be paid entirely through equity shares of EFC rather than cash. The transaction is expected to be completed by October 31, 2026, subject to the required approvals and fulfilment of conditions under the agreement. Upon completion, Ultrafresh will become a wholly owned subsidiary of EFC.

Ultrafresh Adds Modular Kitchen Capability to EFC

Ultrafresh has been present in India’s modular solutions industry for around 25 years, offering modular kitchens, wardrobes and customised furniture solutions through an integrated design, manufacturing, supply and installation model.

The company operates a manufacturing facility at Nalagarh in Himachal Pradesh and has a network of more than 120 retail studios and experience centres across India. Ultrafresh reported revenue of ₹36.32 crore in FY26.

For EFC, the acquisition adds an established modular solutions business to its existing furniture manufacturing and Design & Build operations. EFC currently operates a three-acre furniture manufacturing facility in Pune, while its Design & Build business provides end-to-end interior solutions. The company said Ultrafresh’s Nalagarh facility will strengthen its manufacturing and distribution presence in North
India.

The combination is expected to create synergies across design, manufacturing, supply, installation and customer reach, while enabling EFC to expand its presence in the organised modular solutions market.

“The acquisition of Ultrafresh marks an important step in the expansion of EFC’s existing Real Estate as a Service platform,” said Umesh Sahay, Chairman & Managing Director, EFC (I) Limited. “It strengthens our established furniture manufacturing and Design & Build businesses while adding a strong modular solutions platform to our portfolio.”

Sahay added that Ultrafresh’s design capabilities and North India manufacturing presence complement EFC’s existing capabilities and provide a foundation for expanding its furniture and interior solutions business across markets.

TTK Prestige Exits Following EFC Ultrafresh Acquisition

The EFC Ultrafresh acquisition also marks the exit of TTK Prestige from Ultrafresh. TTK Prestige initially acquired a 40.81% stake in the modular solutions company in 2022 and subsequently increased its holding to 51%.

Ultrafresh expanded during this period, with revenue increasing from approximately ₹12 crore in FY21 to ₹36.32 crore in FY26. Its retail presence also grew from around 85 franchise outlets in 2021 to more than 120 studios and experience centres. The business has operated under the ‘Ultrafresh powered by Prestige’ positioning, with Prestige appliances integrated into its modular kitchen offering.

EFC, headquartered in Pune and listed on the NSE and BSE, operates across managed office spaces, Design & Build and furniture manufacturing. It currently has 150 centres with more than 84,000 seats across 25 cities.

The EFC Ultrafresh acquisition gives the former an immediate presence in the modular kitchen and residential storage solutions segment, alongside an established manufacturing and retail network. The transaction remains subject to completion of the stipulated conditions and approvals.
